Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and Influx Theory ("we," "us," or "our") governing your access to and use of the influxtheory.com website and invoicing platform (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and current.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms.
4. Subscriptions and Billing
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel. Fees are non-refundable except as required by law or expressly stated in our refund policy. You may cancel at any time; cancellation takes effect at the end of the current billing period.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose;
- Send spam, phishing, or otherwise deceptive invoices;
- Upload viruses, malicious code, or content that infringes intellectual property or privacy rights;
- Attempt to reverse engineer, decompile, or gain unauthorized access to the Service or related systems;
- Resell, sublicense, or commercially exploit the Service without our consent;
- Interfere with or disrupt the Service or servers connected to the Service.
6. Your Content
You retain ownership of all content you submit to the Service, including invoices, client information, logos, and notes ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, store, and process Your Content solely as needed to operate and improve the Service. You are solely responsible for the accuracy, legality, and appropriateness of Your Content.
7. Intellectual Property
The Service, including its software, design, text, graphics, and branding, is owned by Influx Theory and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
8. Third-Party Services
The Service integrates with third-party services such as Stripe for payment processing. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data will be accurate or reliable. The Service is not a substitute for legal, tax, or accounting advice.
10. Limitation of Liability
To the maximum extent permitted by law, Influx Theory and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the greater of (a) the amounts you paid to us in the twelve months before the claim or (b) one hundred US dollars (USD $100).
11. Indemnification
You agree to indemnify and hold harmless Influx Theory, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time via account settings or by contacting us. Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction and venue.
14. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Material changes will be communicated by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
